Notice for annual general
meeting
57. (a) Every
private company shall give to the shareholders at least 14 days notice
of its general meeting. The notice shall specify the objects, venue, date,
agenda and time of the meeting. The Directors annual report, annual accounts
and auditor’s report shall be sent to every member along with the notice.
(b) Public companies shall give 14 days notice of its annual general meeting
by a public announcement. The said announcement shall state the venue,
date and time of the meeting. The Directors annual report, annual accounts
and auditors report shall be published together with the announcement.
(c) Private companies shall give fourteen days notice of any extraordinary
general meeting to its members the notice shall state the objects, agenda,
venue, date and time of the meeting.
(d) Public companies shall give to its members fourteen days notice of
any extraordinary general meeting by a public announcement. The announcement
shall state the venue, date and time of the meeting.
Quorum for general meeting
58. A majority of the members
of the company shall constitute a quorum for a general meeting. This section
does not prevent a company from increasing the quorum required by its articles
of association.
